Terms of Service

These Terms of Service (“Terms”) govern your use of the Echo Agent platform (“Echo”, “the platform”, “our services”). By creating an account or using Echo, you agree to be bound by these Terms.

1. Definitions

  • “Provider” means a service provider who creates an account to manage their business through Echo.
  • “Customer” means an end-user who books services through a Provider's booking page.
  • “Team Member” means a person invited by a Provider to access their Echo account with limited permissions.
  • “Content” means any data, text, images, documents, or voice recordings you upload or create on the platform.

2. Account Registration

  • You must be at least 18 years old to create a Provider account.
  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account, including actions taken by Team Members you invite.
  • One person or business may maintain one Provider account. Creating multiple accounts to circumvent billing thresholds or other limits is prohibited.

3. Services Provided

Echo provides a platform for service providers to:

  • Accept online bookings from customers
  • Generate AI-powered quotes from job descriptions
  • Manage jobs, schedules, and team members
  • Create and send professional invoices
  • Process online payments
  • Manage multi-phase projects with progress claims
  • Send automated notifications via WhatsApp and email

Echo is a platform and tool provider. We are not a party to the service agreements between Providers and their Customers. We do not guarantee the quality, safety, or legality of services offered by Providers.

4. Billing and Payments

4.1 Free Tier

The free tier incurs a 1.5% platform fee on completed jobs paid via cash or EFT. For jobs paid via Stripe, the 1.5% fee is deducted at the time of payment. Free-tier usage fees are billed monthly on the 1st of each month.

4.2 Paid Subscriptions

  • Paid plans are billed monthly or annually in advance.
  • Prices are listed in USD and may vary by region.
  • Paid plans eliminate per-job platform fees.
  • You can upgrade, downgrade, or cancel your subscription at any time from your billing settings.

4.3 Cancellation

  • Cancellation takes effect at the end of your current billing period.
  • Upon cancellation, your account reverts to the free tier (subject to the 1.5% platform fee).
  • We do not provide prorated refunds for partial billing periods.

4.4 Account Restrictions

Free-tier accounts that exceed the lifetime job value threshold may have operational features restricted until a paid subscription is activated. Billing settings remain accessible.

5. AI-Generated Content

  • Echo uses AI (powered by enterprise-grade providers) to generate quotes, transcribe voice recordings, and analyse project scope. We may use multiple AI providers and rotate between them.
  • AI-generated content is provided as a starting point and should be reviewed before being sent to customers.
  • You are responsible for the accuracy of all quotes, invoices, and communications sent from your account, whether AI-generated or manually created.
  • We do not guarantee that AI outputs will be accurate, complete, or suitable for any particular purpose.
  • Your data processed by AI is governed by our Privacy Policy. All AI providers are contracted under enterprise agreements that prohibit the use of your data for model training.

6. Your Content

  • You retain ownership of all Content you upload or create on Echo.
  • By using Echo, you grant us a limited licence to store, process, display, and transmit your Content as necessary to provide our services (e.g., displaying your business page to customers, sending invoices, processing AI requests).
  • You are responsible for ensuring you have the right to upload and use any Content you provide.
  • We do not claim ownership of your business data, customer information, or any other Content.

7. Acceptable Use

You agree not to:

  • Use Echo for any illegal activity or to facilitate illegal services
  • Impersonate another person or business
  • Send spam, unsolicited messages, or harassing communications through the platform
  • Attempt to access other users' accounts or data
  • Reverse engineer, decompile, or attempt to extract the source code of the platform
  • Use automated scripts to access or interact with the platform without our permission
  • Upload malicious content, viruses, or code designed to disrupt the platform
  • Circumvent billing, usage limits, or account restrictions
  • Use the platform to collect sensitive personal data beyond what is necessary for service delivery

We reserve the right to suspend or terminate accounts that violate these terms.

8. Customer Data and Privacy

  • As a Provider, you are a data controller for your customers' personal data. Echo acts as a data processor on your behalf.
  • You are responsible for complying with applicable data protection laws (e.g., GDPR, POPIA) in relation to the customer data you collect through Echo.
  • You must not collect or store sensitive personal data (medical records, government IDs, etc.) through Echo unless required for your specific service type and permitted by law.
  • Customer data is segregated by Provider — no Provider can access another Provider's customer data.

9. Payment Processing

  • Payment processing is provided by third-party payment processors and is subject to their respective terms of service.
  • Echo is not responsible for payment processing failures, chargebacks, or disputes between Providers and Customers.
  • Providers are responsible for any fees charged by payment processors for payment processing.
  • Refunds to customers are the Provider's responsibility and should be handled directly or through their payment processor dashboard.

10. Notifications

  • Echo sends automated transactional notifications (booking confirmations, reminders, invoices) via WhatsApp and email on your behalf.
  • Message delivery depends on third-party messaging services and is not guaranteed.
  • You are responsible for ensuring your customers have consented to receive notifications where required by law.
  • Echo does not send marketing messages to your customers on our behalf.

11. Availability and Support

  • We aim to maintain 99.9% uptime but do not guarantee uninterrupted availability.
  • Scheduled maintenance will be communicated in advance where possible.
  • We provide support through our platform. Response times are not guaranteed but we aim to respond within 24 hours on business days.

12. Limitation of Liability

  • Echo is provided “as is” without warranties of any kind, express or implied.
  • We do not guarantee that AI-generated quotes will be accurate or that the platform will meet your specific requirements.
  • To the maximum extent permitted by law, Echo's total liability for any claims arising from your use of the platform is limited to the fees you paid us in the 12 months preceding the claim.
  • We are not liable for any indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.
  • We are not liable for the actions of Providers, Customers, or third-party services integrated with the platform.

13. Indemnification

You agree to indemnify and hold harmless Echo, its officers, directors, and employees from any claims, damages, losses, or expenses arising from: (a) your use of the platform, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) the services you provide to your customers.

14. Termination

  • You may close your account at any time through your account settings or by contacting us.
  • We may suspend or terminate your account if you violate these Terms, with or without notice depending on the severity of the violation.
  • Upon termination, your right to access the platform ceases immediately.
  • We will retain your data for 30 days after termination to allow for data export, after which it will be deleted or anonymised.
  • Sections relating to liability, indemnification, and governing law survive termination.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by posting a notice on the platform or sending you an email. Continued use after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the jurisdiction in which Echo operates. Any disputes will be resolved through binding arbitration or in the courts of the applicable jurisdiction.
